Why advisors bring us in
- A number your client can plan around. Every matter is a flat fee with a written scope memo, so legal cost never becomes the reason a seller hesitates or a buyer re-trades.
- Early review of the LOI. The terms that cause late-stage fights, such as working capital, escrow, earnout mechanics, and non-compete scope, get addressed before exclusivity.
- Deal experience at the right scale. Our founder, Jonathan Brandes, worked on transactions from $1 million to $100 million in Greenberg Traurig's private equity and M&A group, then as in-house counsel at Carrier Global.
- Senior attention from LOI to closing. Your client's deal is handled by a senior attorney, not passed down the ladder.
How we work alongside you
- We stay in our lane. Valuation, marketing the business, tax planning, and investment advice stay with you. We coordinate with you on structure rather than around you.
- You stay informed. With the client's permission, we copy you on scheduling and closing-checklist status so you're never chasing updates.
- Fast first look. Send us a draft LOI or a client situation and we'll tell you within one business day whether and how we can help.
Who we work with
Business brokers and lower middle-market M&A advisors, CPAs and fractional CFOs, wealth managers and exit-planning advisors, SBA lenders, and independent sponsors. Typical clients are owner-operated companies in South Florida and sponsors buying them.
A note on referrals
Florida Bar rules do not allow lawyers to pay non-lawyers for referrals, so we don't, and we don't accept payment for referring clients to you. What we can offer is responsiveness, flat fees, and a client who comes back to you happy.
