Outside general counsel retainers

Retainers are a flat monthly fee scoped to your company, based on contract volume, number of entities, and how much day-to-day support you need. They cover ongoing contracts, questions, and corporate housekeeping. Acquisitions and other transactions are quoted separately as flat fees. How the retainer works.

What moves the price?

Deal size, SBA or other lender involvement, the number of parties, regulated industries, and the timeline. Larger and more complex transactions are quoted individually. Government filing fees and third-party costs are passed through at cost.

How does it work?

  1. Free initial call. 30 minutes on the deal or issue, the parties, and the timeline.
  2. Scope memo and quote. A written description of what is included, and one price for it.
  3. Engagement letter. You sign, pay under the terms of the engagement letter, and the work starts.
  4. The work. Calls and emails are part of the matter. You do not need to ration them.

What is included in a flat fee?

Everything in the scope memo: drafting, negotiation, revisions, calls with you and the other side, and closing. The memo spells out what is in and what is not.

What if the scope changes?

If the matter changes in a way the scope memo did not cover, such as a new party or a second transaction, you get a written quote for the added work before it is done. Nothing is billed after the fact.

Know the number before you commit. A free 30-minute call, then a written flat-fee quote.
